1. Acceptance of Terms
By downloading, accessing, or using MODUS by HabitusCollective (the “App”), you agree to these Terms of Service
(“Terms”). If you do not agree, do not use the App.
If you use the App on behalf of a company, household, or other entity, you represent that you have authority to bind
that entity to these Terms.
2. Eligibility
You must be at least the minimum age required by law in your jurisdiction to use the App. If you are under the age of
majority, you may use the App only with permission from a parent or legal guardian where required.
3. Description of Service
MODUS by HabitusCollective provides inventory management, image recognition, organization tools, and related productivity features.
Features may be added, changed, suspended, or removed at any time.
4. AI Features Disclaimer
Some features use artificial intelligence (“AI”) or machine learning systems operated by us or third-party providers.
You acknowledge and agree that:
- AI outputs may be inaccurate, incomplete, delayed, unavailable, or incorrect.
- AI-generated labels, identifications, suggestions, or classifications are provided for convenience only.
- You are solely responsible for reviewing and verifying all results.
- The App must not be relied upon for medical, legal, nutritional, pharmaceutical, allergen, safety-critical, or emergency decisions.
To the maximum extent permitted by law, we are not liable for losses arising from reliance on AI-generated outputs.
5. User Accounts
Some features may require an account.
You agree to:
- provide accurate information
- keep login credentials secure
- notify us of unauthorized use
- remain responsible for activity under your account
We may suspend or terminate accounts that violate these Terms or create legal, security, or operational risk.
6. User Content
You may upload photos, text, labels, inventory data, and other materials (“User Content”).
You retain ownership of your User Content. However, you grant us a worldwide, non-exclusive, royalty-free license to host,
store, process, reproduce, and transmit User Content solely for:
- operating the App
- providing requested features
- improving reliability, functionality, and security
- complying with legal obligations
You represent that you have all rights necessary to upload User Content.
7. Prohibited Uses
You agree not to:
- violate any law or regulation
- upload unlawful, infringing, deceptive, or harmful content
- upload personal data of others without authority
- interfere with systems or networks
- reverse engineer or attempt unauthorized access
- misuse AI outputs for fraud or harmful conduct
- use the App in a way that damages or disrupts services
8. Third-Party Services
The App may rely on third-party infrastructure providers, including cloud hosting, analytics, authentication, storage, AI
vendors, and payment processors.
Those services may have separate terms and privacy policies. We are not responsible for third-party services except where required by law.
9. Paid Features, In-App Purchases, and Billing
Certain features may be offered now or in the future for a fee, subscription, one-time purchase, or promotional access.
If you download the App through Apple App Store or Google Play Store, purchases may be processed through their respective
billing systems.
Where purchases are processed by a platform provider:
- payment processing is handled by that provider
- subscriptions may renew automatically unless canceled
- billing terms are shown at purchase
- cancellations are managed through your platform account settings
- refunds are subject to the applicable platform provider’s policies unless otherwise required by law
We may introduce, modify, remove, or reprice plans, features, trials, limits, or promotional offers at any time, subject
to applicable law.
Free features may later become paid features.
10. Managing Subscriptions
If subscribed through Apple, manage or cancel subscriptions through your Apple account settings.
If subscribed through Google, manage or cancel subscriptions through your Google Play account settings.
Deleting the App does not automatically cancel subscriptions.
11. Data Availability
We aim to provide reliable service, but do not guarantee uninterrupted availability, permanent storage, or error-free operation.
You are responsible for maintaining copies of important data.
12. Intellectual Property
The App, including its software, design, branding, trademarks, interfaces, and content (excluding User Content), is owned by us or our licensors and protected by applicable law.
No rights are granted except the limited right to use the App under these Terms.
13. Disclaimer of Warranties
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED SERVICE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
- OUR TOTAL LIABILITY ARISING FROM THE APP SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE PRIOR 12 MONTHS; OR (B) SGD $100.
Nothing in these Terms excludes liability that cannot legally be excluded.
15. Indemnity
You agree to indemnify and hold us harmless from claims, liabilities, losses, and expenses arising from:
- your misuse of the App
- your User Content
- your violation of these Terms
- your violation of law or third-party rights
16. Termination
You may stop using the App at any time.
We may suspend or terminate access if necessary for security, abuse prevention, legal compliance, or Terms violations.
17. Governing Law
These Terms are governed by the laws of Singapore, excluding conflict-of-law principles.
Courts located in Singapore shall have jurisdiction, except where mandatory consumer protection laws provide otherwise.
18. Changes to Terms
We may update these Terms from time to time. Continued use of the App after changes become effective constitutes acceptance of revised Terms.
